He has been there almost since the start and did an incredible amount of graft to make it work.

Thank you Brian, and good luck to you.

Francis Albert

Thank you Brian. My one direct contact was an email asking about something or other (one of my moans no doubt) which I sent in the evening. I had a reply before 9 am the following morning. Impressive. Best wishes to him for the future.

(There is more news about the AGM and the FoH's "candidate" for the new Chairman but probably best if someone technically competent provides a link on another thread, leaving this for appreciation of the job Brian has done).

Foundation email

Dear Member

6 December 2016

Foundation of Hearts Limited

This e-mail contains important information regarding our annual general meeting and our board of directors.

Annual general meeting

We can now announce the AGM date as Thursday, 2 February 2017 at 6.00pm.  The meeting will be held at Tynecastle and the formal notice will be sent to you nearer the date.

Our board of directors

Due to increased business commitments, our chair Brian Cormack has decided to step down from the board with immediate effect.

Brian was one of the original group who created the Foundation in 2010.  He has made a vital contribution to the work of the board, particularly since taking over as chair in 2015.  On behalf of the Foundation, we would like to thank Brian for all he has done, and wish him well.

Brian?s retiral as a director is consistent with our articles of association, which require that one of our directors with more than two years? service retire by rotation.  The process for election of a new director at our annual general meeting will now be conducted, and, as deputy chairman, I will chair the Foundation on an interim basis until that time.

Election of directors is a democratic process, with every member having the right to nominate candidates from among fellow-pledgers.  While fully respecting the democratic principle, we, the directors, also have a responsibility to ensure the process produces a board which functions effectively, and, as part of the mix, the board needs a chairman who provides effective leadership and upholds a high level of corporate governance.

When, therefore, Brian indicated that he wished to step down as director and chairman, the board asked me to lead the process for identifying suitable candidates to succeed him.  I am pleased to say, that, following discussions, Stuart Wallace has agreed to stand for election to the board at the annual general meeting.

Stuart is a senior partner in PwC LLP, where he heads up a UK-wide team specialising in tax compliance services.  He is based in PwC?s Edinburgh office.  Stuart describes himself in his Twitter profile as a ?lifelong Heart of Midlothian FC fanatic?, and he has been a member of the Foundation since 2012.  In a voluntary capacity, Stuart has assisted both the Foundation and the Club with advice on tax matters.

The directors believe that Stuart would, if elected, have the leadership, experience, vision and passion to lead us through the transition to supporter ownership.

Stuart will stand for election under our board election procedure.  As indicated earlier, other members can also stand, and we are pleased to invite candidates to come forward.  If you wish to stand, you will find [here] a nomination form and guidance notes on the procedure.  If two or more candidates stand for election, voting will be by a ballot of members, and the result will be declared at the annual general meeting.

If you have any questions, please email [email protected].

Finally, our annual accounts will be finalised shortly, and published on our website within the next 1-3 days.

Best wishes,

Garry Halliday
Interim Chair, Foundation of Hearts

One of the original drivers of the FOH and never gave up when many thought the idea that thousands of Hearts fans paying money into the club every month was a complete fantasy,....his contribution to saving our club should never be forgotten.

I should really start by saying that Stuart Wallace is not only my cousin, but he?s also my closest friend. Thus, I am a bit biased. However, I?ll honestly say that I can?t think of anyone that I know who I think would be better suited for this role. Stuart, if elected, would make an excellent chairman of FoH.

Stuart has been pretty much under the radar so far. In November 2012, when the Romanovs threatened to shut the club down, the Foundation of Hearts went public. At that point, I hadn?t heard of the FoH, but immediately upon hearing a radio interview with Alex Mackie, I got in touch with Stuart and asked him to contact the foundation to see if there was anything he could do. Thankfully he did and he?s been part of it ever since, giving expert advice on tax, and other areas of finance and constitutional matters.

Stuart Wallace is a really intelligent guy, and he?s incredibly passionate about HMFC. He has risen to the top in one of the world?s biggest firms of business advisors. Not bad for a boy who grew up in Howden. What?s more, he's s commercial guy who knows how to make money. I suspect he will have many fresh ideas for the foundation and he?ll ensure that the transition into ownership will be smooth and successful. What I like most about Stuart is that like me, he believes that there is a next level to Hearts. He wants everyone associated with the club to have a winner?s mindset. He wants Hearts to play attacking football, and winning football. He wants Tynecastle packed out every match. He wants the business to grow, enabling us to increase our wage bill that will allow us to compete for trophies, yet at the same time, ensure that we live within our means, and never getting into financial difficulty again.

I?ve known Stuart all my life and for over 20 years now, we?ve become close friends, and now near neighbours. Stuart is a frank and honest guy; friendly, approachable and professional. Yet his gracious demeanour should not be mistaken for weakness. He doesn?t suffer fools gladly, and he will make positive changes to anything he sees needing improved. We will be in great hands if Stuart takes over.

A word on Brian Cormack:

Brian is a first class guy and a real gentleman. He has done a fantastic job at the foundation and as a result: the club. I hope that he can play a major role for the club again some time in the future. I am grateful for the work he did in helping save the club, and returning it to health. The Foundation of Hearts is the greatest fans movement in Scottish football. If you haven?t already pledged, please visit the foundation?s website. It?s never too late?

We are now on the brink of another new era. With the new stand, our bigger, better stadium will seal its reputation as being the most unique, the most iconic, and the most atmospheric ground in the country. The new facilities will help generate cash that will enable us to compete at the top end of the table. We have the finest training facilities in the country, possibly in the UK. Our new head coach and his assistant are two of the most highly-rated individuals in football. The team is doing well. And most of all we have incredible supporters that are part of what is a truly large fan base.

When I started following Hearts, we were pulling in crowds of 5,000 and couldn?t even get out of the old First Division. I remember too those poor years in the early 90s when we hovered near to the bottom of the league, and of course 2012/13 and 13/14 when the club almost died. Stuart Wallace watched those times too. In fact, he?s a wee bit older than me and attended some game back in January 1973 in which I think the opposition might?ve scored four offside goals and got another three against the run of play.  I?m confident that we won?t go through that, or suffer any of those other bad times again. Good people running the club? That?s all we?ve ever needed.

Heart of Midlothian FC is 142 years old. But I feel like this is just the beginning.

The thing I really like about FOH is the way the guys running things keep low personal profiles and get on with the job. Compared to some of the cases at RFC and even Lochend who are always shouting their mouths off about this, that and the other. Huge thanks to Brian and all the others.

Dear Pledger

You will recall that, on 6 December, the board started the formal process for electing a new director to replace Brian Cormack. In my e-mail, I indicated that one of our members, Stuart Wallace, intended to stand as a candidate, and I invited other eligible members of the Foundation to come forward as candidates.

The period for nomination of candidates closed on 20 December, and I can advise you that Stuart Wallace is the sole candidate.

Biographical details of Stuart will be put on the Foundation website shortly, along with the election address which he has submitted. Members can put questions to Stuart by e-mailing us at [email protected]. Each question, and Stuart's response, will be posted on our website.

Our annual general meeting is on 2 February. Since Stuart is the sole candidate, there will be no election contest in the lead-up to that meeting. Instead, a resolution to appoint Stuart as a director will be proposed at the annual general meeting. If the resolution is passed, Stuart will join the board at the conclusion of the meeting.

The formal papers for the AGM on 2 February will be issued to members next month. These will include a proxy form, so that members who are unable to attend the meeting in person can still vote on the resolutions.

Best wishes

Garry Halliday

Christ I hope not. We are looking for someone with a vision and drive to take the organisation forward.. not spend hours looking over every comm to try and uncover negative spin.. there are those who inspire , and those who show value by picking flaws in others.. the latter don't make good leaders..

(A good auditor maybe)
